AGENDA: Updated Central Wasatch Commission Board Meeting Monday: October 5, 2020 3:30 p.m. - 5:00 p.m. NOTICE OF ELECTRONIC MEETING In view of the current COVID-19 pandemic: 1. This meeting will occur only electronically, without a physical location, as authorized by the Governor's Executive Order dated March 18, 2020 (the 'Governor's Order') and related legislation enacted by the Utah Legislature since that date. (See the attached written determination of the Chair of the CWC Board that conducting this meeting with a physical anchor location presents a substantial risk to the health and safety of those who may be present at the anchor location). Written public comments received before commencement of the meeting will be either summarized or read into the record by the Chair or a designee. Comments may also be submitted during the meeting from meeting attendees by following comment instructions from the Chair. 3:30 p.m. Opening 1. Commissioner Christopher F. Robinson will conduct the meeting as Chair of the Board, (the 'Board') of the Central Wasatch Commission ('CWC'). 2. The Chair will read his written determination regarding an electronic meeting anchor location for this meeting, pursuant to Utah Code Ann.52-4-207(4). 3. The Board will consider approving the Minutes of the August 3, 2020 Board Meeting. (Action). (Note that the September 14, 2020 Board meeting was canceled). 3:35 p.m. 2019/20 Central Wasatch Commission Audit Report The Board will receive a report from the CWC's independent auditor, Greg Ogden, CPA, regarding the FY 2019/20 audit. (Action). 1. Fraud Risk Assessment report from Commissioner Mayor Harris Sondak: Mayor Silvestrini is out of the area. (Discussion and Action to Certify). Page -2- 3:45 p.m. Mountain Transit System Summit Facilitator Services 1. Consideration of Resolution 2020-20 approving and ratifying the CWC's entry into an independent contractor agreement with Crafted Leadership, LLC for online facilitator services for the Mountain Transit System Summit in November 2020. (Action). Mayor Sondak presenting. 3:50 p.m. Independent Contract Agreement Amendment with Casey Hill 1 Consideration of Resolution 2020- approving and ratifying the CWC's entry into an amended independent contractor agreement with Casey Hill, Red Hill Strategies for government affairs consulting. 3:55 p.m. CWC Board 'Housekeeping' Actions (Ralph Becker follow up) 1. Open Meeting Act Training: Confirm training completed for each board member. 2. Conflict of Interest Disclosure Statements: Confirm completed and received. 3. Ethical Behavior Form: Confirm completed and received. 4:00 p.m. 2019/20 Central Wasatch Commission Annual Report Presentation 1. The Board will receive an annual FY 2019/20 staff report from Executive Director Ralph Becker. 4:20 p.m. 2019/20 Stakeholders Council Report 1. The Board will receive an annual FY 2019/20 Stakeholders Council report. 2. The Board will review the decision tree for Stakeholders Leadership and Membership. (Action) 4:25 p.m. CWC Committee/Project Reports: 1. Executive Committee: Chair Christopher F. Robinson, on behalf of the Executive Committee, will discuss the August 17, 2020 and September 21, 2020 committee meeting minutes: including recommendation for action on CWC Employee Handbook (previously sent to members). (Action) 2. Budget/Finance/Audit Committee: BFAC member Mayor Sondak on behalf of the Budget/Finance/Audit Committee, will discuss the August 13th, 2020 and September 16, 2020 committee meetings. The August 13, 2020 and September 16, 2020 committee meeting minutes are available here. 3. Short Term Projects Committee: Chair Jim Bradley, on behalf of the Short-Term Projects Committee, will discuss items under discussion and the September 14, 2020 committee meeting minutes. The September 14, 2020 committee meeting minutes are available here. 4. Transportation Committee: a. The Board will consider and take action on Commissioner Mike Peterson's request to be replaced as the Chair of this committee, and the committee's suggestion that Commissioner Dan Knopp be appointed as replacement Chair of this committee. (Confirmation/Action). b. Chair Dan Knopp, on behalf of the Transportation Committee, will discuss items under discussion. Minutes of the August 26, 2020 and September 18, 2020 MTS Panel meetings are available here. The committee will also update the Board on the planned November 13-14, 2020 Mountain Transit System Summit. 5. Legislative Land/Tenure Committee: Chair Jenny Wilson, on behalf of the Legislative Land/Tenure Committee, will present items for discussion and direction from the Board. 6. Environmental Dashboard Project: Board liaison Commissioner Jim Bradley and CWC staff member Lindsey Nielsen will update the Board on work underway for this project. Page -3- 7. Visitor Use Study Project: Board liaison Commissioner Harris Sondak and CWC staff member Blake Perez will update the Board on this project and on the August 28, 2020 presentation by Utah State University on 2014-2015 Visitor Use Study (courtesy of Carl Fisher and Chase Lambron). 4:55 p.m. Public Comments (3 minutes maximum: written comments shared). 5:15 p.m. Commissioner Comments. 5:20 p.m. Adjournment. 5:25 p.m. CLOSED SESSION for the purposes of (a) a strategy session to discuss the purchase, exchange, or lease of real property; and (b) the character, professional competence, or physical or mental health of an individual.
