NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF VERK INDUSTRIAL REGIONAL PUBLIC INFRASTRUCTURE DISTRICT WILL HOLD A MEETING ON MARCH 25, 2025, AT 9:00 A.M. AT THE LIBRARY HALL BUILDING, 80 S MAIN, SPANISH FORK, UTAH 84660. THE MEETING WILL OCCUR ON THE EXPLORER ROOM, WHICH IS ON THE 2ND FLOOR.

1. Consider approval of Resolution 2025-01: A resolution adopting rules of order.
2. Consider approval of Resolution 2025-02: A resolution implementing an electronic meetings policy.
3. Consider approval of Resolution 2025-03: A resolution adopting District bylaws, including ethics and fraud prevention policies.
4. Consider approval of Resolution 2025-04: A resolution implementing a District
records policy.
5. Consider approval of Resolution 2025-05: A resolution of the District declaring its intention to reimburse itself from proceeds of Bonds.
6. Consider approval of Resolution 2025-06: A resolution of the District approving an interlocal agreement between the District and the Utah Inland Port Authority and related matters.
7. Consider authorizing the District Chair or Vice Chair to (a) obtain General Liability policy proposals; (b) accept any policy proposal for aggregate coverage of a minimum of $5 million with an annual premium; and (c) to adjust the policy period as needed to coordinate with pending bond issuance.
8. District authorizing the District Chair or Vice Chair to obtain public officials' bonds for the district Treasurer in the amounts of $250,000.
9. Discussion and potential selection of District General Counsel.
10. Consider approval of an engagement agreement for bond underwriting services between the District and D.A. Davidson and authorize the District Chair or Vice Chair to sign.
11. Consider approval of the engagement agreement for municipal advisory services between the District and Zions Public Finance, Inc., and authorize the District Chair or Vice Chair to sign.
12. Consider approval of the engagement agreement for legal services between the District and Gilmore & Bell, P.C. to serve as bond and disclosure counsel for the District, and authorize the District Chair or Vice Chair to sign.
13. Discussion of the District's proposed tax differential bonds and related matters.
14. Consider approval of a tentative District board meeting calendar for calendar year 2025.
