- NOTICE AND AGENDA Silver Cliffs Common Public Infrastructure District Board of Trustees Special Meeting Notice Is Hereby Given that the Silver Cliffs Common Public Infrastructure District Board of Trustees will Hold a Meeting on Thursday, June 18, 2026 at 9:00 a.m. at the Leeds Town Hall, 218 North Main St., Leeds, Utah 84746 1. Welcome and Call to Order 2. Election of Chair, Vice Chair/Treasurer 3. Adoption of Electronic Meetings Policy 4. Appointment of District Clerk and District Budget Officer 5. Oath of Office 6. Open and Public Meetings Training 7. Consideration of Resolution 2026-01 Designating the Vice Chair/Treasurer as Responsible for Overseeing and Executing Contracting for Services and Selecting the Same Contractors as Used by the Land Enhancement and Development Special District for Management, Accountants, Auditor, and Legal Counsel 8. Consideration of Resolution 2026-02 of the Board of Trustees of the Silver Cliffs Common Public Infrastructure District ('Issuer') Authorizing the Issuance and Sale of Limited Tax General Obligation Bonds, Series 2026a-1 in the Aggregate Principal Amount of Not to Exceed the Amount Set Forth in Resolution 2026-02 (the 'Series 2026a-1 Bonds'), Fixing the Maximum Aggregate Principal Amount of the Series 2026a-1 Bonds, the Maximum Number of Years Over Which the Series 2026a-1 Bonds May Mature, the Maximum Interest Rate Which the Series 2026a-1 Bonds May Bear, and the Maximum Discount from Par at Which the Series 2026a-1 Bonds May Be Sold; Delegating to Certain Officers of the Issuer the Authority to Approve the Final Terms and Provisions of the Series 2026a-1 Bonds Within the Parameters Set Forth Herein; Providing for the Posting of a Notice of Public Hearing and Series 2026a-1 Bonds to Be Issued; Providing for the Running of a Contest Period and Setting of a Public Hearing Date; Authorizing and Approving the Execution of an Indenture, a Preliminary Limited Offering Memorandum, a Limited Offering Memorandum, a Bond Purchase Agreement, a Continuing Disclosure Agreement; and Other Documents Required In Connection therewith; Authorizing the Taking of All Other Actions Necessary to the Consummation of the Transactions Contemplated by This Resolution; and Related Matters. 9. Consideration of Resolution 2026-03 of the Board of Trustees of the Silver Cliffs Commons Public Infrastructure District (The 'District'), Establishing the Terms and Conditions of the Issuance of the District's Special Assessment Bonds, Series 2026a-2 (Silver Cliffs Commons Assessment Area No. 1) (The 'Series 2026a-2 Bonds') in an Amount Not to Exceed the Amount Set Forth in Resolution 2026-03; Authorizing the Execution by the District of an Indenture of Trust and Pledge Relating to the Series 2026a- 2 Bonds; Providing for the Running of A Contest Period; Authorizing the Taking of All Other Actions Necessary to the Consummation of the Transactions Contemplated by this Resolution; and Related Matters. 10. Updates 11. Adjourn After the Adoption of the Electronic Meetings Policy a Trustee May Join By Telephone.
