- Agenda Board of Directors Meeting Weber Human Services 3rd floor, Board of Directors Room Commencing at 8:00 A.M. February 21, 2025. 1. Public Comments: 2. Consent Calendar: a) Welcome b) Request for approval of minutes for meeting held on January 17, 2025, at 8:00 a.m. c) Request for the approval of check register dated January 1, 2025, to January 31, 2025, including voided checks 0000135593 and 0000135924 and in the amount of $1,970,445.70. d) Credit Card Purchases for December 2024. e) Request to ratify the purchase orders: 1. PO#4882-Red Gate Software for SQL Toolbelt Subscription in the amount of $5,919.65. 2. PO#4883- Alt Architecture for Nutrition Kitchen, Case Management and PHBH Clinic Remodel, in the amount of $68,078.50. 3. PO#4884- Crittenden Glass for a double pane insulated glass wall with 1 door for the Admin Conference Room, in the amount of $17,295.00. f) Request to approve the purchase orders: 1. PO#4885-Smith and Edwards for 175 Quick Touch Digital Safes, in the amount of $16,625.00 2. PO#4887-CETA Global for 3-Day Training for 60 WHS Clinician, Travel for CETA Trainers, Supervision Tracking, Consultation, Project Management and Software charges for 60 clinicians and 2-Day consulting/pre-implementation in the amount of $342,076.00. 3. Action Items a) Request to ratify the Contractor Agreements as presented. 1. Hadfield Construction LLC Contractor Agreement between Owner and Contractor. This agreement is made January 6, 2025, by and between Hadfield Construction, LLC ('Contractor') and Weber Human Services- Billing, IT, Records ('Owner'). The work to be performed under this Contract is scheduled to commence on or before January 27, 2025. The contract price is $469,200.00 and Hadfield will supply owner with an invoice approximately the 25th of every month. 2. Hadfield Construction LLC Contractor Agreement between Owner and Contractor. This agreement is made January 6, 2025, by and between Hadfield Construction, LLC ('Contractor') and Weber Human Services- Integrated Behavior Health/Physical Health Clinic ('Owner'). The work to be performed under this Contract is scheduled to commence on or before January 27, 2025. The contract price is $586,800.00 and Hadfield will supply owner with an invoice approximately the 25th of every month b) Request to ratify the Contract Amendment as presented. 1. Utah Department of Health & Human Services Contract Amendment. This Contract Amendment is between the Utah Department of Health & Human Services (Department) and Weber Human Services (Contractor), the purpose of Contract Amendment is replacing the original attachment E which was effective 7/1/2023. The amended Attachment E contains updated capitation rates for SFY2024 c) Request to approve the Master Services Agreement as presented. 1. CETA Global Inc., Master Services Agreement. This Master Services Agreement is made and entered into as of February 21st, 2025, between Weber Human Services ('Customer') and CETA Global Inc. ('Supplier'). Service fees with be $205,776.00 for implementation of the CETA System of care for up to 60 providers in Full CETA. License fees will be $2,200 per month or $26,400 per year, billed annually. d) Request to approve the FY25 Audit Report as presented. e) Consideration of options for permanent supportive housing for WHS SPMI Clients. 4. Executive Director's Report a) Discuss Match shortfall and possible solutions. 5. Executive Session Motion to close and open meeting for the purpose of discussing the character and/or competence of an individual.
