The Board of Trustees of the Tooele Valley Public Infrastructure District (the 'District') will meet in public session to hold its Board Meeting on August 20, 2024 at 10 AM. The meeting will be a hybrid meeting with the anchor location held at 8371 S. State Street, Ste. 202, Sandy, UT 84070 and optional electronic participation. The public is welcome to attend the Board Meeting. The Agenda includes the following items:
AGENDA
1. Welcome and call meeting to order.
2. Roll call.
3. Certification of Quorum and Confirmation of Notice of Board Meeting by District Clerk.
4. Review and approval of minutes of Board Meeting held on August 13, 2024.
5. Board Member Reports (and others as invited by the Chair)
6. Discussion/Action Items
a. Procurement, engineering, and finance requirements and coordination
b. Amendment to Governing Document by UIPA
c. Request for Statements of Qualification for District Engineer Services
7. Bond-Related Discussion and Action Items
a. Authorizing Resolution (Assessment Ordinance - Designation Resolution) Consider approval of A Resolution of the Board of Trustees of the District establishing the terms and conditions of an Assessment Ordinance for the TV Assessment Area No. 1, authorizing the execution of a Designation Resolution and an Assessment Ordinance for the Assessment Area; approving the appraisal for the Assessment Area; authorizing the taking of all other actions necessary to the consummation of the taking of all other actions necessary to the consummation of the transactions contemplated by this Resolution; and related matters.
b. Parameters Resolution (Limited Tax Bonds) Consider approval of A Resolution of the Board of Trustees of the District authorizing the issuance and sale of Limited Tax and Tax Differential Bonds, Series 2024A-1 in the aggregate principal amount of not to exceed $[MAX PAR]; fixing the maximum aggregate principal amount of the Series 2024A-1 Bonds, the maximum number of years over which the Series 2024A-1 Bonds may mature, the maximum interest rate which the Series 2024A-1 Bonds may bear, and the maximum discount from par at which the Series 2024A-1 Bonds may be sold; delegating to certain officers of the District the authority to approve the final terms and provisions of the Series 2024A-1 Bonds within the parameters set forth herein; providing for the posting of a Notice Of Public Hearing and Series 2024A-1 Bonds to be Issued; providing for the running of a contest period and setting of a public hearing date; authorizing and approving the execution of an Indenture, a Preliminary Limited Offering Memorandum, a Limited Offering Memorandum, a Bond Purchase Agreement, a Continuing Disclosure Agreement; and other documents required in connection therewith; authorizing the taking of all other actions necessary to the consummation of the transactions contemplated by this resolution; and related matters.
c. Authorizing Resolution (Assessment Bonds) Consider approval of A Resolution of the Board of Trustees of the District establishing the terms and conditions of the issuance of the District's not to exceed $[MAX PAR] Special Assessment Bonds, Series 2024A-2 (TV Assessment Area No. 1); authorizing the execution by the District of an Indenture of Trust and Pledge relating to the Series 2024A-2 Bonds; authorizing the execution of the District of a Completion Agreement and a Collateral Assignment Agreement; providing for the running of a contest period; authorizing the taking of all other actions necessary to the consummation of the transactions contemplated by this resolution; and related matters.

Potential closed session to discuss the character, professional competence, or physical or mental health of an individual, pending or reasonably imminent litigation, the sale or purchase of real property, and/or other matters as permitted by Utah Code ยงยง 52-4-204 through 205 (if needed, motion and majority vote required to proceed).
