- THE CROSSING PUBLIC INFRASTRUCTURE DISTRICT NO. 1 BOARD OF TRUSTEES MEETING Public Meeting Agenda for: August 19, 2025, at 3:00 PM 415 S. Main Ephraim UT 84627 The Board of Trustees of The Crossing Public Infrastructure District No. 1 ('Board') will meet in public session to hold its Board Meeting on August 19, 2025, at 3:00 PM. The meeting will be a hybrid meeting with an anchor location at 415 S. Main, Ephraim UT 84627. The public is welcome to attend the Board Meeting. Welcome and call meeting to order. 2. Board Member Reports (and others as invited by the Chair) 3. Discussion/Action Items: a. IN CONSIDERATION OF A RESOLUTION OF THE BOARD OF TRUSTEES OF THE CROSSING PUBLIC INFRASTRUCTURE DISTRICT NO. 1 (THE 'ISSUER'), AUTHORIZING THE ISSUANCE AND SALE OF TAX DIFFERENTIAL CONVERTIBLE CAPITAL APPRECIATION BONDS, SERIES 2025 IN THE AGGREGATE PRINCIPAL AMOUNT OF NOT TO EXCEED $15,000,000, FIXING THE MAXIMUM AGGREGATE PRINCIPAL AMOUNT OF THE BONDS, THE MAXIMUM NUMBER OF YEARS OVER WHICH THE BONDS MAY MATURE, THE MAXIMUM INTEREST RATE WHICH THE BONDS MAY BEAR, AND THE MAXIMUM DISCOUNT FROM PAR AT WHICH THE BONDS MAY BE SOLD; DELEGATING TO CERTAIN OFFICERS OF THE ISSUER THE AUTHORITY TO APPROVE THE FINAL TERMS AND PROVISIONS OF THE BONDS WITHIN THE PARAMETERS SET FORTH HEREIN; PROVIDING FOR THE PUBLICATION OF A NOTICE OF PUBLIC HEARING AND BONDS TO BE ISSUED; PROVIDING FOR THE RUNNING OF A CONTEST PERIOD AND SETTING OF A PUBLIC HEARING DATE; AUTHORIZING AND APPROVING THE EXECUTION OF AN INDENTURE, A TAX SHARING AGREEMENT, A PRELIMINARY OFFICIAL STATEMENT, AN OFFICIAL STATEMENT, A BOND PURCHASE AGREEMENT, A CONTINUING DISCLOSURE AGREEMENT; AND OTHER DOCUMENTS REQUIRED IN CONNECTION THEREWITH; AUTHORIZING THE TAKING OF ALL OTHER ACTIONS NECESSARY TO THE CONSUMMATION OF THE TRANSACTIONS CONTEMPLATED BY THIS RESOLUTION; AND RELATED MATTERS. b. Approval of Procurement Policy c. Approval of professional services agreement for financial forecast and related bond-issuance support services (Pinnacle Consulting) d. Approval of professional services agreement for district accounting services (DS Accounting) 4. Potential closed session to discuss pending or reasonably imminent litigation and/or other matters as permitted by Utah Code ยงยง 52-4-204 through 205 (if needed, motion and vote required to proceed). 5.
