- PUBLIC NOTICE AND AGENDA Downtown Revitalization Public Infrastructure District Board of Trustees, Special Meeting NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF THE DOWNTOWN REVITALIZATION PUBLIC INFRASTRUCTURE DISTRICT (THE 'DISTRICT') WILL HOLD A MEETING ON MAY 8, 2025, AT 9:00 A.M. AT THE OFFICE OF GILMORE & BELL P.C., 15 WEST SOUTH TEMPLE STREET, SUITE 1400, SALT LAKE CITY, UTAH 84101 IN THE CONFERENCE ROOM WHICH IS ON THE 14th FLOOR OF THE GATEWAY TOWER. A. Call to Order B. Public Hearing 1. Public hearing to receive input from the public with respect to (a) the issuance of the District's First Lien Sales Tax Revenue Bonds (SEG Redevelopment Project) Series 2025A (the '2025A Bonds'), Second Lien Sales Tax Revenue Bonds (SEG Redevelopment Project) Series 2025B (the '2025B Bonds' and, together with the 2025A Bonds, the 'Senior Bonds'), and Subordinate Lien Sales Tax Revenue Bonds (SEG Redevelopment Project) Series 2025C (the 'Subordinate Bonds,' and together with the Senior Bonds, the 'Bonds') and (b) any potential economic impact that the Project to be financed with the proceeds of the Bonds may have on the private sector. All members of the public are invited to attend and participate. Comments are limited to not more than 2 minutes per person. C. Action Items 1. Approve minutes from April 17, 2025, Board of Trustees Meeting. 2. Consider approval of the Infrastructure Acquisition and Reimbursement Agreement between the District and Jazz Arena Investors LLC, a Utah limited liability company (the 'Developer'). D. Administrative Non-Action Items 1. Board Training - Open and Public Meetings Act 2. Training required by the state auditor for New Board Members. E. Adjourn If needed, the Board may temporarily recess the regular meeting and convene in a closed session to discuss (a) the character, professional competence, or physical or mental health of an individual, (b) strategy sessions to discuss collective bargaining, (c) strategy sessions to discuss pending or reasonably imminent litigation, (d) strategy sessions to discuss the purchase, exchange, or lease of real property, including any form of a water right or water shares, or to discuss a proposed development agreement, project proposal, or financing proposal related to the development of land owned by the State, (e) strategy sessions to discuss the sale of real property, including any form of a water right or water shares, (f) discussion regarding deployment of security personnel, devices, or systems, (g) investigative proceedings regarding allegations of criminal misconduct as provided
