- PUBLIC NOTICE AND AGENDA Sienna Hills Public Infrastructure District No. 1 Special Meeting NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF SIENNA HILLS PUBLIC INFRASTRUCTURE DISTRICT NO. 1 WILL HOLD A SPECIAL MEETING ON THURSDAY, FEBRUARY 23, 2023, AT SNOW JENSEN & REECE, P.C., 912 W. 1600 S., SUITE B-200, ST. GEORGE, UTAH 84770 AT 1:00 pm. A. Call to Order B. Consent Items 1. Approve the minutes of Board meeting held on February 2, 2023 C. Public Hearings 1. Hold a Public Hearing to receive input from the public with respect to (a) the Issuance of Limited Tax General Obligation Bonds, Series 2022A-1 (the '2022A-1 Senior Bonds') and Subordinate Limited Tax General Obligation Bonds, Series 2022B (the '2022B Subordinate Bonds' and collectively, the 'LT Bonds'); and (b) any potential economic impact that the Project to be financed with the proceeds of the LT Bonds may have on the private sector. (Members of the public wishing to comment may connect electronically via zoom.us or 1 (669) 444-9171 using Meeting ID: 890 2625 4532 and Passcode: 028078) D. Action Items 1. Consider approval of Resolution 2023-03A: A resolution amending the District bylaws to clarify and appoint the District's Budget Officer. 2. Consider ratification of a Master Service Agreement and Statement of Work for accounting services between the District and CliftonLarsonAllen (CLA), and signed by the Chair on 2/7/2023. 3. Consider approval (or ratification) of engagement agreement between D.A. Davidson and the District for bond underwriting services, and authorizing the Chair to sign (or ratifying the Chair's signature). 4. Consider approval of tentative District budget for 2023 prepared by CLA; setting a date for a public hearing and adoption of a final budget. 5. Consider approval of a Funding and Reimbursement Agreement between the District and developer Tri-State Funding, LLC., and authorizing the Chair to sign. 6. Consider approval of an Infrastructure Acquisition and Reimbursement Agreement between the District and developer Tri-State Funding, LLC, and authorizing the Chair to sign. 7. Consider approval of the Consent and Improvements Agreement between the District and SITLA, and authorizing the Chair to sign. 8. Consider approval of the Assignment of Participation Agreement between the District and Sienna Hills Automall Association, Inc., and authorizing the Chair to sign. E. Administrative Non-Action Items 1. None. F. Adjourn The District complies with the Americans with Disabilities Act by providing reasonable accommodations for those in need of assistance.
