PUBLIC NOTICE AND AGENDA Verk Industrial Regional Public Infrastructure District Board of Trustees Special Meeting NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF VERK INDUSTRIAL REGIONAL PUBLIC INFRASTRUCTURE DISTRICT WILL HOLD A MEETING ON MAY 1, 2025, AT 9:00 A.M. AT THE LIBRARY HALL BUILDING, 80 S MAIN, SPANISH FORK, UTAH 84660. THE MEETING WILL OCCUR ON THE EXPLORER ROOM, WHICH IS ON THE 2ND FLOOR. A. Call to Order B. Preliminary Action Items 1. Oaths of Office for remaining Trustees. C. Public Hearing 1. Public hearing regarding the issuance by the District of its Tax Differential Bonds, Series 2025 (the 'Bonds') to receive input from the public with respect to (i) the issuance of the Bonds and (ii) the potential economic impact that the improvement, facility or property for which the Bonds pay all or part of the cost will have on the private sector. D. Action Items 1. Approve minutes from the April 8, 2025 meeting. 2. Discussion of and selection of Bond Trustee and approval of engagement letter as needed. 3. Discussion of and selection of District General Counsel and approval of engagement letter as needed. 4. Discussion of and selection of District Accountant/Administrator and approval of engagement letter as needed. 5. Discussion of and selection of District Engineer and approval of engagement letter as needed. E. Adjourn
