NOTICE IS HEREBY GIVEN THAT THE BOARDS OF TRUSTEES OF OQUIRRH POINT IMPROVEMENT DISTRICT WILL HOLD A SPECIAL MEETING FEBRUARY 12, 2025, AT SNOW JENSEN & REECE, P.C., 912 W. 1600 S., SUITE B-200, ST. GEORGE, UTAH 84770

1. Consider approval of Resolution 2025-01, a Resolution approving acquisition of substantially all the operating assets of Meadowbrook Water Users Association (the 'Association'), as set forth in an Asset Purchase Agreement between the District and the Association; and including but not limited to a Connections Allocation Agreement, a Water Banking Agreement, a Water and Sewer Development and Service Agreement, a Transition Services Agreement, and all other agreements, instruments, and conveyances incorporated or referenced therein; and authorizing the Chair and officers of the District to execute all such agreements, instruments, and conveyances and take all other actions necessary to carry out the transactions and operations contemplated therein
