NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF WOHALI PUBLIC INFRASTRUCTURE DISTRICT NOS. 1-2 WILL HOLD A COMBINED SPECIAL MEETING ON THURSDAY, OCTOBER 24, 2024 AT YORK HOWELL, 10610 SOUTH JORDAN GATEWAY, SUITE 200, SOUTH JORDAN, UTAH 84095

A. Call to Order
B. Preliminary Action Items
1. Consider combined board meeting for Wohali Public Infrastructure District Nos. 1-2.
2. Election of District Clerk/Secretary.
3. Discussion of District Clerk/Secretary's Oath of Office, Ethical Behavior Pledge Form, and Conflict of Interest Disclosure Form.
C. Consent Items
1. Approve the draft minutes of the Wohali Public Infrastructure District Nos. 1-2 board meeting held on June 13, 2024.
2. Approve and ratify payment applications and requisition requests made since last board meeting.
D. Action Items
1. Consider approval of Resolution 2024-01: A resolution authorizing the District Chair to: (1) seek approval from the City Council of Coalville City, Utah to amend the Governing Documents to allow Philip Dunn to withdraw as a Trustee from the Districts and to appoint Mike Gibbons as a Trustee of the Districts; (2) once approved by resolution of the City Council to approve the withdrawal of Philip Dunn as a Trustee of the Districts and appoint Mike Gibbons as a Trustee of the Districts and to elect him as District Clerk/Secretary; and (3) authorizing the taking of all other actions necessary to the consummation of the transactions contemplated by Resolution 2024-01.
2. Consider accepting the Q3 financial statements.
3. Consider adoption of the tentative operating and capital budgets for calendar year 2025 for Wohali Public Infrastructure District Nos. 1-2 and set a public hearing to take public comment on the same.

1. Board Training - Open and Public Meetings Act

3. Open meeting discussion with Board members of any public infrastructure district business.
