Tier I + Zoological Advisory Board All Day Review Meeting Minutes Thursday, September 21, 2023, 9:00 AM - 4:00 PM Mid-Valley Performing Arts Center, Board Room 2525 Taylorsville Blvd Taylorville, UT 84129 Board Approved Board Member Attendees: Moana Iose (Chair), Johann Jacobs (Vice Chair), Vicki Bourns, Peter Klinge, Noemi Hernandez-Balcazar, Don Tingey Staff Member and Guest Attendees: Matt Castillo, Samantha Thermos, Adalynn Rich, Daniel Stergios, Tom Steffey, Lincoln Homer I. Call to Order - Chair Moana Iose called the meeting to order at 9:19 AM. II. Welcome and Introductions - Chair Moana Chair Moana led introductions of Tier I Board members. No members of the public were present. III. Agenda Overview - Samantha Thermos, ZAP Program Director Ms. Thermos walked the board through the agenda for the meeting. IV. Action Item: Approval of May 11, 2023, Meeting Minutes - Chair Moana Ms. Bourns made a motion to approve the minutes as written, Mr. Jacobs seconded. Motion passed unanimously. V. Action Item: Election of Advisory Board Leadership for 2024 - Chair Moana Nominees: Johann Jacobs, Chair | Peter Klinge, Vice Chair Advisory Board member terms are for three calendar years, with an option to renew for one term. Chair terms are for one calendar year, with an option to renew for one year. VI. Ms. Bourns made motion to approve Johann Jacobs as Chair and Peter Klinge as Vice Chair, Mr. Tingey seconded the motion. Motion passed unanimously. VII. Review Process Overview - Samantha Thermos, ZAP Program Director Ms. Thermos overviewed the 2024 review process with reminders to the board that reviews are done based on their knowledge and reviews based on what was learned about the applicant through the application. The goal of the meeting is to review all 25 applications, providing feedback for each organization. Brief discussion on whether board member notes made in ZoomGrants are subject to GRAMA requests. Decided ZAP team will seek clarification after the meeting. VIII. CPA Review Overview - Tori Potestio, CPA, Sorensen, Vance & Co. Ms. Potestio reviewed the financial health tests and explained how organizations can fail a financial health test with emphasis on the meaning of going concern. The board discussed the new IRS lease standard; organizations identified that may be affected in future years depending on how they handle the new standard: Hale Centre Theatre, Salt Lake Film Society, the Living Planet Utah Zoological Society. Utah Presents was the only organization to fail the financial health test. They failed last year but submitted a financial health improvement plan and have improved greatly already over last year's financial health test. The organization did predict that they would fail this year, however they are projected to pass in the years following. Failing a financial health test is a consideration and does not affect funding amount. IX. Related Party Costs: Qualified and Unqualified Expenditures - Tori Potestio Tanner Dance - Repeat Transaction 1. Has reported videography as a nonqualifying expenses a. Since obtaining the preferred vendor status by the University the board consistently has allowed the videographer expense in full. b. Did provide proper disclosures 2. Costume design, construction, and graphic design fees a. Fees were paid to family members of two full-time staff members. b. The board discussed sending a message to do a more competitive bidding process. c. The board agreed to be consistent across all organizations. d. In these situations, the ZAP board recommends documentation that organizations actions were approved by the organization's board. Utah Arts Festival Foundation - Repeat Transaction 1. Organization reported $6,000 for services provided as part of the brew management and tech crew. a. The foundations board of directors and management have reviewed and approved of the transaction b. Foundation provided proper disclosures Utah Film Center - Repeat Transaction 1. Disclosed that they lease office space from an entity that is affiliated with select members of the foundation's board. a. The foundation gets the lease for below market value. b. Provided the proper disclosure form on the application Utah Symphony Utah Opera- New Transaction 1. Purchased from a company owned by a board member, which included in-kind expenses. The board member does not actively work on the organization's account and the majority of the advertising dollars noted above. An audit determined that this transaction was done at 'arm's length'. Mr. Klinge motioned that Tanner Dance videography reported nonqualifying expenses to approve as a qualifying expense, Tanner Dance costume design motioned to disallow for qualifying expenses, Utah Arts Festival Foundation motion to approve the qualifying expense, Utah Film Center motioned to approve the qualifying expenses, and Utah Symphony Utah Opera motioned to approve qualifying expenses allow. Seconded by Ms. Bourns. Motion passed unanimously. X. Morning Break XI. Application Reviews Overview - The following are highlights from the board's discussions. Hale Centre Theatre - High production value that greatly serves the community. - The board was impressed with their Monday night cultural celebrations done in conjunction with Sandy City. - It was noted that they seemed engaged and were overall very accommodating to the ZAP board member review/visit. Pioneer Theatre Company - The board appreciated that they take risks with programming selection and is built on uniqueness. - Have a lot more single ticket purchases rather than season pass holders. - Still dealing with the ramifications of COVID-19, and they recognize they are still not at the same level they were prior to 2020. The Living Planet Aquarium - Is a very commercial organization and the board commends them for their entrepreneurial spirit. - Would like to see additional outreach to more schools from them but loves the mobile classrooms. - Have a very dynamic and involved board. Utah Presents - Still in a post COVID-19 transition era and this year is looking to be their most successful year since the pandemic. - Provides great outreach programs. - New board is very engaged with the organization and very excited with where the organization is going. Utah Museum of Contemporary Art - Creates and provides unique programming. - Current challenge is staffing and maintaining staffing. - Had a very well written ZAP application. Utah Hogle Zoo - The board is impressed with their nationally acclaimed conservation projects. - Thought that attendance of their fundraiser was impressive. - Excited by the plan for the new exhibit and thought that they had an amazing location. XII. Lunch Break XIII. Brainstorm Activity with Board - Samantha Thermos & Addy Rich, ZAP Program Assistant Ms. Thermos and Ms. Rich lead the board in a brainstorming activity that led to a discussion on what can be improved in the Tier I + Zoological application, ZAP programming, and events. XIV. Application Reviews Overview - Continued Natural History Museum of Utah - Recently installed their first permanent collection focused on local stories. - New faculty is focused on connecting the University of Utah and the community. - They are challenged by their isolated location with no easy access to public transportation. Red Butte Garden - The garden is back to attendance levels similar to pre-pandemic. - Very robust volunteer program. - Great conservation program and have a very innovative response to climate change. Repertory Dance Theatre - Diverse and responsive program. - There is a lot of challenges getting people to accept modern dance. - Impressed with the love this group had for their mission, community, and dance. Board is small but mighty. Ririe-Woodbury Dance Foundation - Ririe-Woodbury Dance Foundation - The company has a unique edge compared to other contemporary dance studios with their emphasis on educating the dancers based on contemporary dance history. - The new leadership is exciting and knowledgeable about the organization. - A very innovative organization that is community focused. The goal for the dance company is to not be relegated to just the stage, in that they want to do more innovative dance performances in ways that will get the community and the audience engaged. Tanner Dance Program - Board members consider them one of the best kept secrets of Salt Lake City. - Board was impressed by the programming of using bungees; they are able to help people with severe disabilities learn to dance. - Current goal is to bring in more students from across the county. Utah Arts Alliance - Programming that offers the community unique services unlike any other organization. - Very involved in the urban, hip hop, and LGBTQ2+ communities. - Numerous events that support thousands of residents and tourists. Utah Humanities Council - Very diverse in everything that they do and the communities they serve. - Currently working on creating sensory kits for individuals with autism. - Very well written applications. Utah Museum of Fine Arts - Working with schools right now to make their exhibits accessible for non-English speakers. - History of doing family activities for the past 30 years. - Every third Saturday of the month from 1-4pm open for any community member; this event is promoted all throughout the County and is also promoted in Spanish. Friends of Tracy Aviary - Very organized organization. - Amazing conservation program and the Jordan River program was a great addition. - Impressive work with the detention center located next to them. Salt Lake Acting Company - Preforms many independent productions where they support local writers. - When compared to a lot of other performing arts they've been shown to highlight independent thought and overall has a progressive way of thinking. - Amazing childrens' show programming. Spy Hop - Dedicated board of directors as well as a committed group of donors. - Addresses youth who otherwise would feel out of place in a typical high school. - Interesting organization it feels such a profound need for students. Utah Film Center - Very accessible and geographically diverse. - Only organization that offers a queer film festival. - Demonstrated history of supporting independent and local artists. Wasatch Community Garden - Used as a demonstration facility where members of the community can learn to garden. - Is known for great events and programming. - They were successful in raising the money to buy the buildings around the garden and are able to use those as a supplemental income. Ballet West - Using advanced target marketing has greatly increased their subscriptions. - Great partner of Granite School District. - Very innovative and successful outreach programs. Discovery Gateway - Impressive partnership they have with Red Balloon that works with their gift shop. - Trying to increase their core staff's salaries to maintain a competitive wage. - Partnering with the Utah Jazz has made some significant differences in expanding the age range. Salt Lake Arts Council Foundation - Unique organization that many other cities don't have. - Match the arts with the city infrastructure in a very effective way. - Has a very engaging website. Utah Symphony & Opera - Increased tickets sales with data analytics. - Working hard to gain a younger audience. - Has a program specifically with the Latino community that will be integrated into their regular season next year. Chair Moana suggested finalizing funding recommendations after ZoomGrants grantmaking platform is up and running again to double check scores and comments for accuracy on October 5, 2023 follow up meeting. XV. Program & Division Updates- Samantha Thermos, Matt Castillo, Arts & Culture Division Director Ms. Thermos and Mr. Castillo gave a brief overview of what the County is doing within the art community. Including current plans to assist remodeling associated with Abravanel Hall, UMOCA, etc., the early planning for the southwest valley performing arts center. Tickets sales throughout the county are also currently up as well as community engagement. XVI. Adjourn - Chair Moana Chair Moana Iose adjourned the meeting at 3:59 PM.
