12.1 IHC HEALTH SERVICES, INC. Considering for adoption a resolution authorizing the issuance and sale by Salt Lake County, Utah (the “County”) of its Hospital Revenue Refunding Bonds, Series 2011 (IHC Health Services, Inc.) (the “Series 2011 Bonds”), in an aggregate principal amount not to exceed $60,000,000 and the loan of the proceeds thereof to IHC Health Services, Inc., a Utah nonprofit corporation (“Intermountain”), for the purpose of currently refunding all outstanding Salt Lake County, Utah Hospital Revenue Bonds, Series 2001B (IHC Health Services, Inc.), issued in the original aggregate principal amount of $100,000,000; providing that the Series 2011 Bonds shall be payable solely and exclusively from the revenues arising from the pledge of a note of Intermountain given as security for the Series 2011 Bonds and in no event to constitute a general obligation or liability of the County or a charge against its general credit or taxing powers; authorizing the execution and delivery by the County of an Indenture of Trust and Pledge, a Loan Agreement, a Bond Purchase Agreement, a Tax Exemption Certificate and Agreement and an Escrow Deposit Agreement; and certain related matters.
