Notice of Electronic or Telephone Participation
An 'electronic meeting' is a meeting that some or all Directors attend through an electronic video, audio, or audio and video connection.
An 'anchor location' is a designated physical location from which the electronic meeting originates or to which participants are connected.
An electronic meeting of the Board of Directors may be held at the request of a Director or as determined by the President. If an electronic meeting is held, Directors shall be given notice at least 24 hours before the meeting of how to connect to the meeting.
All Directors who are either present at the anchor location or connected to the electronic meeting are counted for purposes of determining a quorum. Except when a vote is unanimous, votes during an electronic meeting shall be taken by roll call.
Unless the electronic meeting is held without an anchor location, space and facilities will be provided at the anchor location for members of the public to attend the open portions of the meeting. If an electronic meeting is held without an anchor location, a link will be made available to allow members of the public to observe the public portions of the meeting.
An electronic meeting may be held without an anchor location if all Directors are attending electronically, except when the Board of Directors receives, at least 12 hours before the meeting, a written request to provide an anchor location for members of the public to attend in person. An electronic meeting may also be held without an anchor location if the requirements set out in Utah Code ยง 52-4-207(5)(a) or (b) have been met.
