TIMPANOGOS SPECIAL SERVICE DISTRICT NOTICE OF PROPOSED SOLE SOURCE PROCUREMENT __________________________________________ THIS IS NOT AN INVITATION FOR COMPETITIVE BIDS OR FOR PROPOSALS __________________________________________ The Utah Code and the Procurement Policy of the Timpanogos Special Service District ('TSSD') provide that sole source procurements may be used under limited circumstances such as: (a) there is only one source for the procurement item; (b) transitional costs are a significant consideration and a cost-benefit analysis demonstrates that the award to a sole source is in the best interest of TSSD; or (c) circumstances render a standard procurement process impractical and not in the best interest of TSSD. The Procurement Officer of TSSD gives public notice of the same. The purpose of this notice is to provide public notice as required by law. Product and/or Service to be purchased: Work related to replacement of diffusers in bioreactors including removal and replacement of existing aeration diffusers and associated piping equipment, including electrical and associated appurtenances presently being constructed or improved at the site of TSSD. Contract Duration: April 2026 through July 2027 Proposed Sole Source Supplier: Alder Construction 3939 South 500 West, Salt Lake City, Utah 84123 Estimated Total: Approximately $5 Million. Sole Source Justification: For the following reasons, and based on research performed by the undersigned, the District has determined this purchase will utilize the sole source procedures authorized by the Utah Procurement Code: - The proposed contractor has previously been awarded contract for the construction and improvement of bioreactors as part of TSSD's ongoing upgrade work; the diffusers are an integral part of the bioreactors, and having been awarded that contract, the proposed contractor is uniquely qualified and positioned (as to proximity, expertise and time-based financial considerations) to perform the work; safety considerations associated with the replacement of the diffusers make the proposed contractor uniquely qualified to perform this work; time is of the essence in commencement of the work and the proposed contractor is uniquely positioned to perform the work on a timely basis. For the foregoing reasons the undersigned finds that circumstances render a standard procurement process impractical and not in the best interest of TSSD. - In light of the urgent timing needs of the proposed work and a cost-benefit analysis, the transitional costs of conducting a standard procurement process are prohibitive and not in the best interest of TSSD. Dates and Deadlines: The following dates and deadlines shall be followed by TSSD and by any person responding to this Notice: Notice Start Date: April 16, 2026 Notice End Date: April 27, 2026 at 9:00 a.m. MDT Deadline for Comments and Contests: April 27, 2026 at 9:00 a.m. MDT Earliest Date for Award: April 27, 2026 Action to be Taken: No action is required if you do not contest this proposed purchase as a valid sole source procurement. Failure to contest this proposed sole source procurement on or before this deadline will preclude any challenge to this proposed procurement. Instructions for Contests: If you contest this procurement, you are required to submit the following information: (a) your name and contact information, to include a mailing address and e-mail address; and (b) a detailed explanation of the reasons you contest the proposed sole source procurement, including documentation showing that the reasons for sole source procurement described above should not apply to the work to be performed, or other reasons requiring a non-sole-source procurement process. Matters not addressed in writing in a contest to this procurement will not be considered by TSSD and will not be considered in any appeal. All comments will be evaluated before further action is taken on this proposed procurement. All contests will be duly investigated to determine the validity of the contest and a written determination will be made either supporting or denying the challenge. Inasmuch as this is a notice of a sole source procurement, quotes, bids or proposals will not be considered by TSSD.
