HOLIDAY HILLS WATER DISTRICT, UTAH APPROVING ASSET TRANSFER, RATES & RULES February 14 2026 RESOLUTION NO. 2026-02-A A RESOLUTION AUTHORIZING AN ASSETT TRANSFER AGREEMENT, WATER RATES, RULES AND REGULATIONS MANUAL; AND RELATED MATTERS. WHEREAS, in 2025 the Holiday Hills Water District, Utah (the 'District') was created to serve areas with drinking water that previously were served by the Holiday Hills Home Owners Association (the 'HOA'); and WHEREAS, the new District and the HOA have prepared an Asset Transfer Agreement (the 'Agreement') to transfer the water assets of the HOA to the District and now desire to approve said Agreement; and WHEREAS, the District has prepared and desires to approve water rates that will be needed related to the Taxable Water Revenue Bonds, Series 2026 that the Board approved on January 10, 2026; and WHEREAS, the District has prepared and desires to approve a manual of rules, regulations and bylaws for the governance of the District and its water system:: NOW THEREFORE, IT IS HEREBY RESOLVED by the District Board of Holiday Hills Water District, Utah, as follows: The terms defined or described in the recitals hereto shall have the same meanings when used in the body of this Resolution. All actions heretofore taken (not inconsistent with the provisions of this Resolution), by the Board of the District directed toward the issuance and sale of the Notes, are hereby ratified, approved and confirmed. A form of Asset Transfer Agreement attached hereto as Exhibit B, with such changes thereto as shall be approved by the Chair is hereby authorized and approved. A form of rates attached hereto as Exhibit C is hereby authorized and approved with a base rate of $43.08 per connection per month. A form of a manual with rules, regulations, procedures, and operating guides is attached hereto as Exhibit D is hereby authorized and approved with such changes thereto as shall be approved by the Chair. The Chair and other appropriate officials of the District are authorized and directed to execute, seal and deliver for and on behalf of the District the Asset Transfer Agreement and the Rules Manual and any or all additional certificates, documents and other papers and to perform all other acts they may deem necessary or appropriate in order to carry out the matters and documents authorized by this Resolution. The Chair is authorized to make alterations, changes or additions to the Asset Transfer Agreement and the Rules Manual as may be necessary to correct errors or omissions, or to remove ambiguities therefrom or to conform the same to the other provisions thereof or to the laws of the State of Utah or the United States. All parts of this Resolution are severable, and if any section, clause or provision of this Resolution is, for any reason, held to be invalid or unenforceable, the invalidity or unenforceability of that section, clause or provision does not affect the remaining sections, clauses or provisions of this Resolution. All resolutions, orders and regulations or parts previously adopted or passed which are in conflict with this Resolution are, to the extent of such conflict, repealed. This repealer shall not be construed so as to revive any resolution, order, regulation or part thereof heretofore repealed. The District Clerk is authorized to attest to the signature of the Chair on the Asset Transfer Agreement and the Rules Manual and to affix the seal of the District and is further directed to complete the attached Record of Proceedings. This Resolution shall take effect immediately upon its approval and adoption. PASSED, APPROVED AND ADOPTED this February __, 2026. Chair ATTEST: District Clerk ( S E A L ) RECORD OF PROCEEDINGS The District Board (the 'District') of the Holiday Hills Water District, Utah County, Utah (the 'District'), met in public session at the regular meeting place of the District at 204 Hobble Creek Canyon Road in Springville, Utah, on February ___, 2026, at the hour of 2:00 p.m., or as soon thereafter as feasible, with the following members of the District being present: Brett Daines Boardmember Tyler Tingey Boardmember Krista Hiatt Boardmember/Clerk Nancy Steffan Boardmember Nick Wilbur Boardmember Kristin Dulin Boardmember Also present: Absent: which constituted all members thereof. After the meeting had been duly called to order and after other matters not pertinent to this resolution were discussed, the foregoing resolution (the 'Resolution') was introduced in written form and fully discussed. A motion to adopt the Resolution was then duly made by Boardmember ____________________ and seconded by Boardmember ____________________, and the Resolution was put to a vote and carried, the vote being as follows: Those voting YEA: Those voting NAY: Those Abstaining: The District Clerk presented to the District a Certificate of Compliance with Open Meeting Law with respect to this January 10, 2026 meeting, a copy of which is attached hereto. Upon the conclusion of all the business on the Agenda and motion duly made and carried, the Meeting was adjourned. EXHIBIT C-2 CERTIFICATE OF DISTRICT CLERK I, Krista Hiatt, the duly appointed and qualified District Clerk of the Holiday Hills Water District, Utah County, Utah (the 'District'), do hereby certify that the attached Resolution is a true, accurate and complete copy thereof as adopted by the City District of the District at a public meeting duly held on February ___, 2026 (the 'Meeting'). The Meeting was called and noticed as required by law as is evidenced by the following Certificate of Compliance with Open Meeting Law. The persons present and the result of the vote taken at the Meeting are all as shown above. The Resolution, with all exhibits attached, was deposited in my office on February ___, 2026 and is officially of record in my possession.
