NOTICE OF HEARING
NOTICE IS HEREBY GIVEN that a public hearing will be held by Salt Lake City, Utah (the 'City'), during the formal meeting of the City Council of the City (the 'City Council') on December 9, 2025, which meeting will begin at 7:00 p.m., with respect to the application of the proceeds of certain revenue notes (the 'Notes') to be issued by the Public Finance Authority (the 'Issuer'), a commission organized under and pursuant to the provisions of Sections 66.0301, 66.0303 and 66.0304 of the Wisconsin Statutes, as amended, as airport exempt facility bonds, as defined in Section 142(a)(1) of the Internal Revenue Code of 1986, as amended (the 'Code'). The Notes will be issued in one or more series, from time to time, in an aggregate principal amount not to exceed $95,000,000, pursuant to a plan of financing, whereby the proceeds of the Notes will be loaned to Sky Harbour Capital II LLC, or one or more subsidiaries or other affiliates thereof (collectively, 'Sky Harbour') to finance the project described below (the 'Project'). The public hearing is required by Section 147(f) of the Code.
According to information provided by Sky Harbour: (i) the Project will consist of the development of an aircraft storage facility, comprising four hangars aggregating approximately 160,000 square feet, to be located at the Salt Lake City International Airport (the 'Airport') - the address of the Project will be 1181 N 2330 W Street, Salt Lake City, Utah 84116,, (ii) the initial lessee/occupant of the Project will be SLC Development LLC, or another affiliate thereof,, and (iii) the borrower of the proceeds of the Notes will be Sky Harbour.
At the time and place set for the public hearing, interested persons will be given a reasonable opportunity to express their views, both in person in Room 315 of the City and County Building, located at 451 South State Street, Salt Lake City, Utah or online through Zoom, on the merits of the Project, its location, the plan of financing, the issuance of the Notes or related matters. The Notes will be special limited obligations of the Issuer payable solely from the loan repayments to be made by Sky Harbour to the Issuer, and certain funds and accounts to be established with respect to the Notes. The Notes will not be an obligation in any way of the State of Utah, the City, the Department of Airports of the City or the finances of the Airport within the meaning of any Utah Constitutional provision or statutory limitation.
