SPECIAL MEETING
NOTICE IS HEREBY GIVEN THAT THE BOARD OF TRUSTEES OF DESERT EDGE PUBLIC INFRASTRUCTURE DISTRICT NO. 1 WILL HOLD A SPECIAL MEETING ON MONDAY, NOVEMBER 3, 2025, AT YORK HOWELL, 10610 SOUTH JORDAN GATEWAY, SUITE 200, SOUTH JORDAN, UTAH 84095
AT 1:00pm
A. Call to Order
B. Preliminary Action Items

C. Consent Items
1. Approve the draft minutes of the board meeting held on August 22, 2025.
D. Action Items
1. Consider accepting the Q3 financial statements for calendar year 2025.
2. Consider adoption of Resolution 2025-05: A resolution authorizing the District to: (1) seek approval from the City Council of Grantsville City, Utah to amend the Governing Document to allow Spencer Connelly to withdraw as a Trustee from the District and to appoint another designated member from the development team as a Trustee of the District; (2) once approved by resolution of the City Council to approve the withdrawal of Spencer Connelly as a Trustee of the District and appoint another designated member from the development team as a Trustee of the District and to elect him/her as District Chair; and (3) authorizing the taking of all other actions necessary to the consummation of the transactions contemplated by this resolution.
3. Consider adoption of the tentative operating and capital budget for calendar year 2026 and set a public hearing to take public comment on the same.
E. Administrative Non-Action Items
1. Open meeting discussion with Board members regarding the transition of District management services from York Howell to Blackwood Advisors.
2. Open meeting discussion with Board members of any public infrastructure business.
