Minutes of Oak City Town Board Special Meeting
Held October 2, 2025
The meeting was held at the Oak City Town Hall beginning at 7:30 p.m. in the Conference Room.

A. Invocation. The invocation was given by Shim.
B. Adopt Agenda.
Dave moved, seconded by Jared, to adopt the Agenda as written. Roll Call Vote: Mayor Callister- Aye. Dave-Aye. Jared-Aye. Tom-Aye. Copeland-Absent.
C. Discuss and Adopt a Resolution Authorizing the Fremont Solar PPA Project Transaction Schedule
Under the Master Firm Power Supply Agreement with Utah Associated Municipal Power Systems;
and Related Matters. Dave explained that the time is short to decide if the Town is going to participate. It is a 99-megawatt generation facility in Iron County. It will also have a 49.5 MW/198 MWH battery resource. Utah Associated Municipal Power Systems (UAMPS) and Longroad Energy have been working on it for a long time.
This Transaction Schedule is a contract with UAMPS to take the power that UAMPS has already purchased under a Power Purchase Agreement (PPA) with Longroad Energy. It is a 25-year contract. The scheduled commercial operation date is December 31, 2027. The guaranteed delivery date is June 30, 2028. The Power Purchase Agreement that UAMPS has, covers costs of damages if project delivery is delayed.
The cost of power is $35.45 per MWH which is pretty cheap. The Town has signed Entitlement Shares for 150 KW (0.1515%) and can purchase more if desired. There is a capacity charge for the battery being available. It is $13.5 per KW month. Capped at $14 per KW month. Combined energy cost, with the battery, is between $0.069 and $0.074 per kwh. The battery buys time to bring up another resource when power is fluctuating. Just filling in resource gaps. It enables the ability to shave peaks and shift loads. The main reason Dave signed up is that the Town needs to diversify its power portfolio and add some renewables into the mix. Several of the Town's current sources are either going away before long or changing. Will be looking into some other resources in the future. The Town is able to get renewable energy credits for participation also. It also helps with resource adequacy. Tom understood the Town didn't have to pay for anything unless it is getting power, correct? Yes, except for the battery charge. The Resolution states that the town will participate in the project and the transaction contract.
Dave moved, seconded by Jared, to adopt Resolution 2025-07 a Resolution Authorizing the Fremont Solar PPA Project Transaction Schedule Under the Master Firm Power Supply Agreement with Utah Associated Municipal Power Systems; and Related Matters. Roll Call Vote:

The Mayor and Alyssa signed the Resolution into effect.
