NOTICE OF PUBLIC HEARING
For the purposes of Section 147(f) of the Internal Revenue Code of 1986, as amended (the 'Code'), notice is hereby given that the Board of Duchesne County Commissioners, the governing body of Duchesne County, Utah (the 'Board'), is one of the member counties of Seven County Infrastructure Coalition, Utah (the 'Issuer') and that the Board, on its own behalf and on behalf of each county in the State of Utah which contains a portion of the Project to be financed by bonds pursuant to, among others, Sections 103 and 142 of the Code in one or more series from time to time pursuant to a plan of financing, hereby calls a public hearing with respect to the Project (as defined herein) and the plan of financing therefor (the 'Plan of Finance'), including the issuance of tax-exempt exempt facility private activity bonds in one or more series from time to time in an aggregate principal amount not to exceed $2,400,000,000 (the 'Bonds'), on August 25, 2025, at 1:00 p.m., at the Duchesne County Offices located at 734 North Center Street, Duchesne, Utah 84021.
The public hearing is being conducted for the purpose of receiving comments and hearing discussion concerning the proposed adoption by the Issuer of a resolution approving the issuance by the Issuer of the Bonds and the financing of the Project pursuant to the Plan of Finance. All members of the public are invited to attend and express their views in person or by written comment.
The proceeds of the Bonds will be loaned to Uintah Basin Railway Holdings, LLC or one or more of its subsidiaries or related entities (collectively, the 'Borrower'). The Borrower will use the proceeds of the Bonds to acquire land and to acquire, construct and equip rail surface transportation and freight transfer facilities and related improvements, including but not limited to temporary storage facilities, from the Kyune, Utah area near Soldier Summit in Utah County to the Uinta Basin area in northeastern Utah and including land in Utah, Carbon, Duchesne and Uintah counties, consisting of approximately 88 miles, and with freight transfer facilities to be located at or near Lelan Bench, Utah and Myton, Utah (collectively, the 'Project'). The Project will be owned and operated in whole or in part by the Borrower. Proceeds of the Bonds will be used by the Borrower for the purpose of (i) acquiring, constructing and equipping the Project, (ii) funding debt service reserves, if any, (iii) funding capitalized interest on the Bonds, if any, and (iv) paying costs associated with the issuance of the Bonds.
The Bonds will be issued under the authority of the Utah Interlocal Cooperation Act, Title 11, Chapter 14, Utah Code Annotated 1953, as amended (collectively, the 'Act'). The Bonds shall be payable solely from the revenues of the Borrower. The proposed Bonds will not constitute general obligations of the Issuer, any of its member counties, including the Board, the State of Utah or any public body. The Issuer will not be obligated to pay costs incurred in connection with the issuance of the Bonds nor will it be liable to make payments of interest or principal on the Bonds.
This public hearing is required by Section 147(f) of the Code. Comments at the public hearing are invited. Written comments may be submitted to the Board through its Commission Executive Assistant at the offices of the Board at 734 North Center Street, Duchesne, Utah 84021. Additional information can be obtained from the Board by calling (435) 738-1139. Comments made at the hearing are for the consideration of the parties providing an approval of the Project, the Bonds and the Plan of Finance, but will not bind the Commission, the Issuer or such parties as to any action it may take.
